EOOD Capital Conversion to Euro

A fully remote procedure to bring your EOOD’s capital into line with the new currency – review, documents, and entry with the Commercial Register, from €49.95.

Why capital conversion for an EOOD is not automatically correct

The Registry Agency automatically converts the registered amount of capital of every EOOD in the Commercial Register at the fixed rate of €1.00 = BGN 1.95583. The problem is that this automatic official conversion almost never matches exactly the sum of the converted shares, because dividing down to the cent rarely produces a round number.

Example – an EOOD with capital of BGN 5,000 and 5,000 shares
Automatically converted capital (Registry Agency)
€2,556.46
Sum of the converted shares
€2,550.00
Difference (error)
€6.46

This difference of just a few euro cents must be formally resolved by a decision of the sole owner of the capital and an update to the articles of association – otherwise discrepancies arise in the accounting records, with a risk of a fine.

Answers

Frequently asked questions about EOOD capital conversion

Is capital conversion mandatory for an EOOD?
Yes. The Registry Agency automatically converts the registered amount of capital in the Commercial Register, but the owner of the EOOD remains obliged to bring the articles of association (memorandum) and the internal documents into line with the new currency.
What happens if I don’t do it?
Statutory fines of €76.69 to €766.94 apply for a first offence, and €153.39 to €1,533.88 for a repeat offence, in addition to the accounting discrepancies between the registered capital and the company’s constitutional documents.
Does the owner of the EOOD need to visit an office?
No. The procedure is 100% remote – from sending the EIK to signing the documents and tracking the entry.
By when must the conversion be completed?
The compliance deadline is 31 December 2028 – 36 months from the introduction of the euro on 1 January 2026. The extended deadline does not, however, apply in every case.
