The Registry Agency will automatically convert the registered capital amount in the Commercial Register — but not the number and nominal value of the shares stated in your company documents.
This creates a mismatch between the automatically converted capital and the amount stated in your company documents. Commercial companies remain obligated to bring their company documents and internal instruments into line with the new currency by 31 December 2028. The extended deadline does not, however, apply in every case.
What's the Problem?

This creates difficulties in determining the number and nominal value of the shares that make up the capital, and it also leads to discrepancies in the company's accounting records.
It is precisely because of these discrepancies that the law requires commercial companies, within 36 months of 1 January 2026, to align the capital amount registered with the Commercial Register with the amount stated in their company documents. The extended deadline does not, however, apply in every case.
Non-compliance carries statutory fines of €76.69 to €766.94 for a first offence and €153.39 to €1,533.88 for a repeat offence, in addition to the resulting accounting discrepancies.
